Definitions used in these Terms:

  • WCG: World Coffee Gear B.V.
  • Customer: the legal entity or natural person acting professionally that contracts with WCG.
  • Business Account: an approved Reseller Account, Company Account or Fulfilment Account.
  • Product: an item offered or supplied by WCG.
  • Agreement: the relevant order, quotation, account agreement, fulfilment agreement or other contract with WCG.
  • Fulfilment Customer: an approved E-retailer using WCG fulfilment services.

2. Applicability and order of precedence

  1. These Terms apply to all Business offers, orders, deliveries and Services supplied by WCG within the European Union.
  2. The Customer’s purchasing or other general terms are rejected unless WCG expressly accepts them in writing.
  3. A signed quotation, account agreement, fulfilment agreement, service level agreement or data processing agreement prevails over these Terms where it expressly regulates the same subject.
  4. Deviations apply only to the Agreement for which they were accepted and do not create a continuing practice.
  5. Before entering an Agreement, the Customer can read, print and save these Terms. The version accepted when the Agreement is concluded remains applicable to that Agreement.

3. Authority, information and account approval

  1. The person applying, ordering or accepting on behalf of a Customer confirms that they are authorised to bind that Customer.
  2. The Customer must provide complete and accurate company, invoicing, delivery, sales-channel and VAT information and promptly report changes.
  3. WCG reviews Business Account applications individually and may request supporting information, decline an application or attach reasonable conditions to approval.
  4. Approval is personal to the Customer, is not transferable and does not grant territorial, regional, product or channel exclusivity unless agreed separately in writing.
  5. The Customer must protect account credentials and is responsible for orders placed through its authorised account, except where misuse results from WCG’s own security failure.
02

Account models

4. Choosing the correct Business Account

The commercial model depends on how the Products will be used:

A Customer must not use benefits from one model for another purpose. WCG may correct the account classification or applicable price where the stated use is inaccurate.

5. Reseller Accounts

  1. A Reseller Account is intended for businesses purchasing Products for resale through their own approved webshop or physical retail location.
  2. A Reseller may place a standard Business order from €75 excluding VAT and shipping, but no reseller discount or reseller margin applies below the qualifying €300 Product value.
  3. The Customer may mix available brands, Product categories and individual units in a standard reseller order. Mix & Match does not apply to fulfilment transactions.
  4. Reseller purchasing benefits start with a qualifying Product value of €300 excluding VAT and discounts. The applicable net reseller pricing is displayed in checkout before payment.
  5. Indicative commercial margins generally range from 28% to 45%, depending on the brand and purchasing volume. WCG does not guarantee the Customer’s final resale margin or profitability.
  6. Reseller status does not create an agency, franchise, partnership or authority to bind WCG or a represented brand.

6. Company Accounts

  1. A Company Account is intended for hotels, restaurants, cafés, offices and other organisations purchasing Products for their own professional use and not for resale.
  2. After approval, the standard Company Account benefit is a 12.5% company discount on eligible purchases, unless a different written arrangement applies.
  3. Company Account pricing may not be used to supply third parties for resale or to operate a resale channel.

7. Fulfilment Accounts

  1. A Fulfilment Account requires separate commercial approval, technical onboarding and a signed fulfilment agreement or accepted quotation.
  2. The Fulfilment Customer is the seller of record towards its own end customer. WCG performs the agreed logistical and operational Services but does not become the end customer’s contractual seller.
  3. The Fulfilment Customer remains responsible for its retail prices, webshop information, consumer-law compliance, taxes, customer communications and all obligations that legally belong to the seller.
  4. WCG remains responsible for correctly performing the fulfilment activities assigned to it under the Agreement.
03

Orders, prices and payment

8. Offers and formation of Agreements

  1. Website information, catalogues, stock indications and price lists are invitations to order and may be corrected or changed before acceptance.
  2. An order constitutes the Customer’s binding offer. An automated acknowledgement confirms receipt but not necessarily acceptance.
  3. The Agreement is formed when WCG sends an order confirmation, expressly accepts a quotation or starts performance.
  4. Quotations are valid for the stated period and otherwise for 14 days, subject to availability and any stated conditions.
  5. WCG may reject an order for reasonable commercial, compliance, availability, channel or fraud-prevention reasons.
  6. An obvious pricing, calculation, stock or typing error does not bind WCG. WCG will offer correction or cancellation of the affected part.

9. Prices, minimum order and commercial benefits

  1. Business prices are stated in euros and exclude VAT, shipping, duties and other levies unless expressly stated otherwise.
  2. The minimum Business order value is €75 excluding VAT and shipping. This general order minimum only permits a Business order to be placed and does not entitle a Reseller to reseller pricing or a reseller margin.
  3. Reseller pricing starts from a qualifying Product value of €300 excluding VAT and discounts. The actual applicable reseller price is visible in checkout before payment.
  4. Prices, discounts and margin levels may differ by brand, Product, order type, volume and Account model.
  5. WCG may change prices or commercial schedules for future orders. A change does not affect an order already accepted unless caused by a new tax or government charge that legally applies to that order.
  6. Unless WCG agrees otherwise in writing, discounts, account benefits, coupons and special quotations cannot be combined.

10. VAT and tax information

  1. The Customer must provide its correct legal name, registered address and VAT identification number.
  2. Dutch VAT is charged where required. An intra-EU supply may be invoiced without Dutch VAT only where all legal conditions are met and the Customer’s EU VAT number has been provided and validated.
  3. If a VAT number is invalid, incomplete, belongs to another entity or cannot be verified, WCG may charge applicable VAT or suspend acceptance or dispatch.
  4. The Customer remains responsible for its own VAT reporting, acquisition tax, local taxes, resale obligations and the consequences of incorrect information.
  5. If an authority later assesses VAT, interest or penalties because information supplied by the Customer was incorrect or incomplete, the Customer must reimburse WCG to the extent legally attributable to that information.

11. Payment and payment-method fees

  1. Standard Business webshop orders are paid in advance using one of the payment methods available in checkout.
  2. WCG releases the order for fulfilment after the selected payment method has been successfully completed, authorised or guaranteed by the relevant payment provider.
  3. Reseller prices and the applicable discount are displayed in checkout before payment.
  4. Certain Business payment methods may be subject to a Payment fee, including where the selected payment service involves additional payment-provider costs, deferred payment or instalment functionality.
  5. The applicable Payment fee is displayed in checkout before the Customer submits the order and forms part of the total amount payable for the selected order and payment method.
  6. By selecting the relevant payment method and submitting the order, the Customer accepts the Payment fee shown for that payment method.
  7. Where an invoice is issued under an E-retailer fulfilment arrangement or another expressly agreed Business service, it must be paid by its stated due date without suspension, deduction or set-off, except where mandatory law provides otherwise.
  8. After the applicable due date, the Customer owes statutory commercial interest and reasonable collection costs, without prejudice to WCG’s right to suspend performance.

12. Availability, allocation and cancellation

  1. Stock information is indicative until an order is accepted and allocated. WCG may reasonably allocate limited stock among Customers.
  2. If WCG cannot supply an accepted Product, it may propose an alternative, make a partial delivery, place the item on back order or refund the unavailable item.
  3. The Customer may not cancel an accepted order without WCG’s written approval. WCG may condition approval on reimbursement of costs already incurred.
  4. Customised, specially sourced, reserved, manufactured-to-order or already dispatched Products cannot be cancelled unless WCG agrees otherwise or WCG is in material default.
04

Delivery, returns and warranty

13. Delivery area, timing and shipping costs

  1. WCG supplies approved Business Customers at available destinations within the European Union.
  2. Standard delivery normally takes approximately 3–7 working days, depending on stock, destination, carrier and the order. Any date is an estimate unless expressly confirmed as a binding deadline.
  3. Free standard shipping applies to eligible reseller orders to the Netherlands, Belgium and Luxembourg with a net Product value of at least €300 excluding VAT after applied discounts.
  4. For all other EU destinations and orders below an applicable threshold, shipping is charged according to the current table rate shown in checkout before payment or stated in the quotation.
  5. Fulfilment shipping and handling charges are governed by the applicable fulfilment schedule or agreement.
  6. Partial deliveries are permitted where reasonable and do not entitle the Customer to reject correctly supplied Products.

14. Delivery, risk and retention of title

  1. Delivery takes place at the agreed address. The Customer is responsible for accurate address, access and receiving information.
  2. Risk passes to the Customer when the Products are delivered to the Customer, its representative or the agreed carrier, depending on the agreed transport arrangement.
  3. All Products remain WCG’s property until the Customer has paid all amounts due under the relevant Agreement and related deliveries.
  4. Until ownership passes, the Customer must keep unpaid Products identifiable, properly stored and insured and may resell them only in the ordinary course of business.
  5. If the Customer is in default, WCG may recover Products subject to retention of title. The Customer grants reasonable access for that purpose, subject to applicable law.

15. Inspection and the 48-hour reporting period

  1. The Customer must inspect the shipment promptly after delivery for visible damage, shortages and incorrect Products.
  2. Visible damage should be recorded on the carrier’s signed delivery document or proof of delivery.
  3. Damage, an incorrect delivery or a shortage must be reported to hello@worldcoffeegear.eu within 48 hours after delivery, with the order number, delivery document and supporting photographs where relevant.
  4. A defect that could not reasonably have been discovered during prompt inspection must be reported without undue delay after discovery.
  5. WCG may reject a late claim where the delay prevents reliable investigation or recovery from the carrier, except to the extent WCG remains liable under mandatory law or an express warranty.

16. Missing and incorrectly supplied Products

  1. After WCG approves a valid shortage claim, the correctly ordered missing Product will be sent without additional Product or shipping charge, subject to availability.
  2. An incorrectly supplied Product must, at WCG’s choice, be returned using WCG’s instructions or made available for collection at WCG’s cost.
  3. If a Reseller expressly asks to retain an incorrectly supplied Product and WCG agrees, WCG may issue an additional invoice for that Product.
  4. The Customer may not use, resell or dispose of an incorrectly supplied Product before WCG confirms the agreed solution.

17. Business returns and order changes

  1. Business Customers do not have a statutory Consumer right of withdrawal.
  2. A non-defective Product may be returned only with WCG’s prior written approval and in accordance with the stated return instructions.
  3. Approved discretionary returns must be unused, complete, undamaged and suitable for resale. WCG may deduct reasonable shipping, inspection, repackaging, loss-of-value and restocking costs.
  4. Customised, engraved, imprinted, specially ordered, clearance or otherwise non-resalable Products are not eligible for discretionary return.
  5. Unless WCG supplies a prepaid label for an approved claim, Products must not be sent to the registered office. The authorised return address is: World Coffee Gear Returns, Grote Ohéweg 3, 6081 PT Haelen, The Netherlands.

18. Commercial warranty and defects

  1. The standard Business commercial warranty is one year from the WCG invoice date.
  2. Fellow and Planetary Design Products have a two-year commercial warranty from the WCG invoice date.
  3. The warranty covers proven defects in material or workmanship and excludes normal wear, accidental damage, misuse, improper storage or maintenance, unauthorised repair or modification and use contrary to instructions.
  4. A Reseller or Fulfilment Customer that has sold a Product to an end customer remains that end customer’s first and legal point of contact. It must receive, assess and handle the end customer’s questions and claims concerning warranty, defects, breakage, damage, missing parts, returns and remedies in accordance with the law and its own end-customer terms.
  5. If the Reseller or Fulfilment Customer considers that an end-customer matter may give rise to a claim against WCG, the Reseller or Fulfilment Customer must submit the claim to WCG itself through the World Coffee Gear Return & Replacement Form . The end customer should not be directed to WCG or to this Business form unless WCG has expressly agreed otherwise.
  6. Submission of the form does not constitute acceptance of the claim. WCG assesses whether the claim falls within the applicable commercial warranty, an agreed fulfilment workflow or another responsibility of WCG.
  7. For a covered claim, WCG may repair, replace, provide the required spare part or credit the affected Product, having regard to proportionality and availability.
  8. The Customer must provide the WCG invoice, Product identification, a clear description and reasonable photographic or video evidence and must follow return or diagnostic instructions.
  9. No Product may be returned to WCG until the Customer has received WCG’s approval and return instructions.
  10. The Customer is responsible for making no broader warranty promise to an end customer on WCG’s behalf than WCG has expressly approved.

19. Customisation and Customer artwork

  1. Laser engraving, imprinting and other customisation are subject to a separate quotation, minimum quantity, artwork review and final proof approval.
  2. The Customer confirms that it owns or is authorised to use all supplied logos, images, text and other artwork and indemnifies WCG against substantiated third-party intellectual-property claims caused by that material.
  3. The Customer must check spelling, dimensions, colour references and placement before approving the proof. Production tolerances stated in the quotation or proof are accepted.
  4. Customised Products cannot be cancelled or returned after approval or production has started, except where defective or materially inconsistent with the approved proof.

20. Sales channels, brands and price promotions

  1. The Customer may sell through sales channels disclosed to and approved by WCG.
  2. Products supplied by WCG may not be listed or sold on Amazon or bol without WCG’s prior written consent.
  3. The Customer must comply with applicable brand, product-information, safety, advertising and marketplace requirements communicated by WCG or the relevant brand owner.
  4. Any coordinated price promotion, campaign support or temporary promotional purchasing arrangement requires prior consultation and written agreement with WCG.
  5. Nothing in these Terms requires the Customer to apply a fixed or minimum resale price. The Customer determines its resale price independently, subject to applicable competition law.

21. Marketing content and intellectual property

  1. Approved Customers may use current Product images, descriptions and marketing materials supplied by WCG solely to market genuine Products purchased from or fulfilled by WCG.
  2. All intellectual-property rights remain with WCG, the relevant brand owner or licensor. No ownership, trademark licence or exclusivity is transferred beyond the limited permitted use.
  3. The Customer must not materially alter brand assets, remove notices, create misleading claims or register confusingly similar domains, account names or trademarks.
  4. Permission ends when the Account or relevant brand relationship ends. The Customer must then remove the materials within a reasonable period, except where required to complete existing lawful sales or support.
05

E-retailer fulfilment

22. Onboarding and technical connection

  1. Onboarding is performed with a specialist from the fulfilment provider and begins after commercial approval and receipt of the required technical information.
  2. WCG can support integrations with Magento, Shopify, Shopware, Centra, WooCommerce connected to WordPress and Lightspeed, subject to the Customer’s configuration, available interfaces and the agreed technical scope.
  3. The standard one-time connection charge is €400 excluding VAT, unless a different quotation applies.
  4. The Customer is responsible for its webshop, licences, credentials, compatible configuration, product mapping, testing and any work performed by its own platform or technology provider.
  5. Go-live requires successful testing and approval by both parties. Additional custom development, migration or repair work is quoted separately.

23. Stock selection, orders and dispatch

  1. The available WCG stock portfolio may be made available for selection by the Fulfilment Customer, subject to stock, brand approval, allocation and technical availability.
  2. Stock availability is not exclusively reserved unless agreed in writing. A synchronisation delay or competing sale may occasionally result in an unavailable item.
  3. Orders may be transmitted through the agreed integration. The Fulfilment Customer may also place an authorised manual order and request direct dispatch to its end customer.
  4. WCG dispatches the approved selection in the Fulfilment Customer’s name and includes a packing slip in the Fulfilment Customer’s name where agreed and technically available.
  5. The Fulfilment Customer is responsible for the accuracy and lawfulness of order, address and end-customer information transmitted to WCG.
  6. Mix & Match reseller-order conditions do not apply to fulfilment transactions.

24. Fulfilment operations, reporting and service levels

  1. The agreed scope may include stock handling, pick and pack, dispatch, returns processing and practical warranty administration.
  2. The Fulfilment Customer receives real-time or near-real-time insight into recorded sales and returns through the available back-office connection. Temporary delays caused by synchronisation, maintenance or third-party systems may occur.
  3. Detailed cut-off times, carriers, packaging, delivery targets, return workflows, support responsibilities and service levels are governed by the fulfilment agreement or service level agreement.
  4. WCG will use commercially reasonable efforts to maintain the connection but does not guarantee uninterrupted operation of third-party platforms, carriers, networks or interfaces outside its control.
  5. Each party must promptly report integration errors and cooperate to prevent duplicate, incorrect or unauthorised dispatches.

25. Fulfilment pricing, invoicing and termination

  1. Fulfilment Product margins generally range from 28% to 45%, depending on the brand and weekly invoiced value, as specified in the commercial schedule.
  2. A minimum monthly invoice value from WCG to the Fulfilment Customer of €3,000 excluding VAT applies. The composition and treatment of any shortfall are specified in the accepted quotation or fulfilment agreement.
  3. Delivered Products and fulfilment Services are invoiced weekly and payable within 7 days.
  4. Carrier surcharges, exceptional handling, returned shipments, incorrect address costs and agreed additional work may be invoiced separately.
  5. Price promotions and campaign-specific fulfilment conditions are implemented only after prior written agreement.
  6. The fulfilment arrangement is cancellable monthly in accordance with the notice, transition, outstanding-order and data-return provisions of the fulfilment agreement.
  7. Termination does not affect accrued payment obligations, orders already accepted or provisions intended to survive termination.

26. End customers, returns and product responsibility

  1. The Fulfilment Customer determines and communicates its own end-customer terms, withdrawal policy, retail pricing, tax treatment and customer-service information in compliance with applicable law.
  2. Operational returns and warranty requests may be routed through WCG where included in the agreed workflow and must be submitted by the Fulfilment Customer in accordance with article 18. The Fulfilment Customer remains the legal contact for its end customer unless expressly agreed otherwise.
  3. The Fulfilment Customer may not promise an end customer a remedy, reimbursement or warranty at WCG’s expense beyond the agreed WCG policy without prior approval.
  4. The parties will cooperate on product-safety notices, recalls, traceability and corrective measures. Each party bears the costs attributable to its own breach or responsibility.

27. Personal data and data processing

  1. Each party must comply with applicable data-protection law and apply appropriate technical and organisational security measures.
  2. Where WCG processes end-customer personal data on behalf of the Fulfilment Customer, the parties will enter into an appropriate data processing agreement before live processing begins.
  3. The Fulfilment Customer must have a lawful basis and provide the required information for transmitting end-customer data to WCG and the agreed fulfilment providers and carriers.
  4. WCG will use end-customer data only to perform the agreed Services, comply with law, secure the systems and handle authorised support, returns or warranty activity.
  5. Security incidents and personal-data breaches will be handled in accordance with the data processing agreement and applicable law.
06

Liability and final terms

28. Liability

  1. WCG is liable for direct loss caused by an attributable failure to perform the Agreement, subject to the limitations in this article.
  2. Except in cases where limitation is legally prohibited, WCG is not liable for indirect or consequential loss, including lost profit, lost turnover, lost data, loss of goodwill, business interruption or claims arising from the Customer’s relationship with an end customer.
  3. Except where mandatory law requires otherwise, WCG’s aggregate liability for an event or series of related events is limited to the amount paid or payable by the Customer under the part of the Agreement giving rise to the claim during the preceding six months, or the amount paid by WCG’s liability insurer if higher.
  4. The limitations do not apply to liability resulting from intent or deliberate recklessness by WCG’s senior management, death or personal injury caused by WCG, mandatory product liability or another liability that cannot lawfully be limited.
  5. The Customer must take reasonable steps to prevent and mitigate loss and must notify WCG promptly enough to investigate the claim.

29. Customer responsibility and indemnity

  1. The Customer is responsible for its sales channels, advertising claims, retail pricing, tax compliance, account use, supplied content and instructions.
  2. The Customer indemnifies WCG against substantiated third-party claims and reasonable costs resulting from the Customer’s unlawful content, unauthorised artwork, misleading representation, breach of marketplace or brand rules, incorrect end-customer data or failure to comply with obligations belonging to the Customer as seller.
  3. The indemnity does not apply to the extent the claim was caused by WCG’s own breach, negligence or unlawful conduct.

30. Force majeure

  1. Neither party is liable for delay or failure caused by circumstances beyond its reasonable control, including serious carrier or supplier disruption, fire, flood, extreme weather, government measures, strikes, cyber incidents, utility or network failure, epidemic, war, embargo or shortage.
  2. The affected party will notify the other party where reasonably possible and use reasonable efforts to limit the effect.
  3. Obligations are suspended for the duration of the event. If material performance remains impossible for more than 60 days, either party may terminate the affected unperformed part without liability, while accrued payment obligations remain due.

31. Suspension and termination

  1. WCG may suspend Account access, dispatch, warranty processing or Services where the Customer is overdue in payment, provides invalid information, materially breaches channel rules or creates a reasonable fraud, security or legal risk.
  2. Where the breach can be remedied, WCG will normally provide a reasonable opportunity to remedy it before termination, unless immediate action is reasonably necessary.
  3. Either party may terminate an Agreement with immediate effect if the other party materially breaches and fails to remedy after notice, enters insolvency proceedings, ceases business or can no longer lawfully perform.
  4. On termination, all undisputed outstanding amounts become immediately due and the Customer must stop using Account-only prices, systems and marketing materials.

32. Confidentiality

  1. Non-public prices, margin schedules, technical documentation, credentials, customer information, business plans and other confidential information must be protected and used only for the Agreement.
  2. Disclosure is permitted to personnel and professional advisers who need the information and are bound by confidentiality, or where required by law.
  3. This article continues after the Agreement ends.

33. Changes, assignment and severability

  1. WCG may update these Terms for future orders and may update ongoing service terms on reasonable notice where commercially or legally necessary.
  2. If a material change adversely affects an ongoing fulfilment service, the Customer may use any termination right stated in the fulfilment agreement.
  3. The Customer may not assign the Agreement without WCG’s prior written consent. WCG may assign it to an affiliated company or successor to the relevant business, provided this does not materially reduce the Customer’s rights.
  4. If a provision is invalid or unenforceable, the remaining provisions continue. The invalid provision will be replaced to the minimum extent necessary by a valid provision reflecting its commercial purpose.
  5. Failure to enforce a right once is not a waiver. Electronic written communications and approvals satisfy a written-form requirement unless the Agreement expressly requires a signature.

34. Applicable law and disputes

  1. These Terms and all Agreements with WCG are governed by Dutch law.
  2. The United Nations Convention on Contracts for the International Sale of Goods is excluded.
  3. The parties will first attempt in good faith to resolve a dispute through direct commercial consultation.
  4. If no resolution is reached, the competent Dutch court in the district of WCG’s registered office has jurisdiction, unless mandatory law requires another court.

Important: a quotation, fulfilment agreement, service level agreement or data processing agreement may contain additional operational provisions. Where an expressly agreed provision conflicts with these general Business Terms, that expressly agreed provision takes priority.
